Affiliate Agreement

This Ideaify Affiliate Program Agreement (the "Agreement") is entered into by and between Ideaify ("Ideaify" or "Company"), and the undersigned affiliate ("Affiliate"). By participating in the Ideaify Affiliate Program, Affiliate agrees to abide by the terms and conditions set forth in this Agreement.

‍1. Definitions and Parties: All references to “Ideaify” herein mean and refer to [Company's Legal Name], doing business as Ideaify. All references to “Affiliate,” "You," and "Your" mean and refer to the individual or entity who has executed this Agreement. Ideaify and Affiliate are each referred to herein as a "Party," and collectively as the "Parties."

‍2. Application and Acceptance: Affiliate agrees to provide all information requested by Ideaify in connection with the Affiliate application and/or Affiliate's continued participation in the Ideaify Affiliate Program. Affiliate affirms that all provided information is truthful, accurate, and complete. Ideaify retains the right to determine Affiliate's eligibility for participation in the program.

‍3. Commission Structure: Affiliate will earn a commission of 20% of each referred customer's monthly subscription fee for as long as the customer remains subscribed to Ideaify. The commission rate is subject to change at Ideaify's discretion.

‍4. Payment and Eligibility: Commissions will be paid out each month following Ideaify's receipt of payment for a referred customer, subject to the terms of this Agreement. Any processing fees incurred may be deducted from commissions.

‍5. Deliverables: Affiliate is expected to create and share content that effectively and accurately showcases Ideaify's features and benefits. Specifically, Affiliate agrees to produce a minimum of 2 Instagram reels and/or 2 TikTok videos per month highlighting Ideaify's offerings. Additionally, if the majority of Affiliate's audience is primarily engaged on a different platform (e.g., YouTube, Twitter, LinkedIn, Facebook), Affiliate is required to post a minimum of 2 pieces of content on that platform per month. In addition, affiliates are encouraged to create content about Ideaify as frequently as they'd like. Active participation in stories about Ideaify is also highly encouraged to maintain engagement and visibility.

‍6. Termination and Revocation: Either Party may terminate this Agreement at any time for any reason upon written notice. Ideaify reserves the right to deny and/or revoke commissions based on fraudulent activities or violations of this Agreement.

‍7. Compliance and Marketing: Affiliate agrees to comply with all applicable laws and regulations in marketing efforts, ensuring ethical and legal practices. Any claims or representations about Ideaify's products and services must be accurate and truthful. Ideaify is an AI-powered content creation and marketing platform designed to help write better content faster. We want to make our approach clear. Ideaify makes no claims or representations that by using our platform, you are guaranteed to generate income or recoup your investment. While Ideaify can significantly enhance your content creation and marketing efforts, success depends on various factors. The testimonials and case studies we share are genuine experiences from Ideaify users. However, these results are not typical, and your experience may differ. Your business's success depends on several variables, including the dedication and knowledge of your team, the specific business model you adopt, and market dynamics that are beyond our control. We believe in the power of Ideaify to transform your content creation and marketing, but we also believe in transparent communication and ethical business practices. Your success is in your hands, and Ideaify is here to support your journey every step of the way.

‍8. Intellectual Property and Branding: Affiliate is granted a limited, non-transferable license to use Ideaify's branding materials for promotional use only. Affiliate shall not use Ideaify's intellectual property for any unauthorized purposes.

‍9. Indemnification: Affiliate agrees to indemnify and hold Ideaify harmless from any claims, liabilities, or damages arising from Affiliate's promotional activities or actions related to this Agreement.

‍10. Confidentiality: Both Parties agree to keep any non-public information exchanged during the course of this Agreement confidential.

‍11. Modification and Amendment: Ideaify reserves the right to modify, amend, or change any terms of this Agreement at any time.

‍12. Dispute Resolution and Governing Law: These Terms & Conditions shall be governed by and construed in accordance by the laws of the state of Nevada. All claims arising out of or relating to these Terms will be brought exclusively in the federal or state courts of Clark County, Nevada, USA.

‍13. Entire Agreement: This Agreement, along with Ideaify's standard Terms of Service, constitutes the entire agreement between the Parties and supersedes any other agreements related to Affiliate's participation in the Ideaify Affiliate Program.
